PRODUCER SUBSCRIPTION AND MEMBERSHIP AGREEMENT
Member Producer/Vendors have the same rights and responsibilities as paid general Little Acres
Farms Co-Op Members. The Producer/Vendor Co-Op Members are required to abide by the Co-Op
Member Contract as well as the following Producer/Vendor Agreement.
FEES FOR PRODUCERS/VENDORS
In addition to Little Acres Farms Co-Op membership of $100, Producer/Vendors agree to pay $25 a
year to sell their food products through Little Acres Farms Co-Op plus 15% of their gross sales per
month.
Little Acres Farms Co Op will market, sell, provide short-term storage, deliver and collect payment for
Producer/Vendor products.
Little Acres Farms Co-Op will mail monthly payment for Producer/Vendor sales less 15% to cover
Co-Op commission fees by the 15th of the following month.
PRODUCERS/VENDOR PRODUCTS
It is mandatory that Producers/Vendors supply Little Acres Farms with a written inventory of products offered by their company with description of products, amount in packages (if applicable) and prices
per item or package size. While photos of products or generic related stock images are not
mandatory, images of some short help market products and are highly recommended.
Little Acres Farms Co-Op does not supply graphics/photos for Producer/Vendor products.
Photos, generic stock photos, Producer logo or other related identifying graphics are to be supplied
by the Producer/Vendor.
Producer/Vendors are liable for consequences of copyright infringement and other legalities of using
images from other sources without permission from rightful owner. Producer/Vendors should verify
they have legal right to use photographs/graphics prior to supplying images to Little Acres Farms Co-
Op for advertising purposes.

Products will be sold at price supplied by Producer/Vendor. It is the responsibility of the
Producer/Vendor to notify Little Acres Farms Co-Op in writing of changes to Producer/Vendor
products and pricing to ensure that website remains valid and current. Little Acres Farms Co-Op will
not increase prices of or add additional fees to Producer/Vendor products without written instruction
from Producer/Vendor.
Products will be added by Little Acres Farms Co-Op to the Member Only Little Acres Farms Website
and available for Members to order.
Producer/Vendors must inform Little Acres Farms C-Op of the amount of each product they are able
to supply to Little Acres Farms Co-Op to sell in a week so there is no shortage of products sold.

Little Acres Farms will periodically advertise products from Producers/Vendors on the web via various
social media outlets including but not limited to Facebook and Instagram. Products without
photos/graphics may not be advertised.
Producers/Vendors are responsible for packaging, pricing, labeling and delivering their products to
Little Acres Farms on time.
Closing date for weekly Member orders is noon on Mondays.
Producer/Vendors will be sent an order on Mondays by 3 pm of products needed to fulfill customer
orders for the week.
Producer/Vendor agrees to deliver fulfilled weekly orders to Little Acres Farms by Wednesday at 3
pm so customer orders can be packed and ready for delivery.
Little Acres Farms Co-Op is not responsible for products ordered by customers that are not delivered
to Little Acres Farms by Producer/Vendor by product delivery time of Wednesdays at 3 pm.
Provisions may be made ahead of time with Little Acres Farms Co-Op to deliver time sensitive food
products Thursday mornings by 9 am to ensure freshness of product.
Little Acres Farms Co-Op will make every attempt to check in and verify quantity of all products
delivered by Producer/Vendors while Producer/Vendor is on site. If that is not possible due to time
restraints of either party, Producer/Vendor will be notified immediately by Little Acres Farms Co-Op
upon completion of check in process if quantities delivered does not match quantities ordered.
Producer/Vendors must notify Little Acres Farms Co-Op no later than 12 noon on Wednesdays if
order will be late or not coming for a valid reason.
Refunds will be made to customers for products not delivered to Little Acres Farms by
Producers/Vendors and deducted from Producer/Vendors gross sales for the month.
If Producer/Vendor does not supply Little Acres Farms Co-Op with Customer ordered products
according to schedule on 3 separate occasions without notice that product will not be delivered, Little
Acres Farms Co-Op reserves the right to cancel the Producer/Vendor contract with no refund of
Membership fees. In the event that Producer/Vendor contract is cancelled, products will be taken off
Member website immediately.
If Producer/Vendor Agreement is cancelled, Producer/Vendor becomes a General Member of Little
Acres Farms Co-Op and is able to order food products from the Co-Op for the remainder of their
General Membership contract.

Little Acres Farms Co-Op is responsible for packing of, verifying accuracy, and delivering of customer
orders at specified times and set delivery locations. Producer/Vendors are aware that deliveries are
not made to individual Members homes.
General Delivery days are Thursdays and Fridays every week.
Delivery schedule changes may occur due to inclement weather. If schedule must be changed,
Producers/Vendors will be notified by Little Acres Farms Co-op and alternative dates will be
scheduled for deliveries.
Producers/Vendors will be notified a minimum of 30 days in advance if delivery days will be changed
to accommodate up coming holidays.
Any changes to delivery schedule will be announced to Members on the Little Acres Farms Co-Op
Members Only Website, as well as other social media sites.
PRODUCT QUALITY
Producer/Vendor agrees to and is responsible for supplying Little Acres Farms Co-Op with fresh,
quality products.
In the event that the product delivered to Little Acres Farms Co-Op is spoiled, stale, damaged or
unsalable for any reason, Little Acres Farms Co-Op has the right to refuse delivery of said product
and refund customer’s payment for the product at Producer/Vendor’s expense. In the case of 3
separate occurrences of less than quality, unsalable products delivered by Producer/Vendor to Little
Acres Farms Co-Op, Little Acres Farms Co-Op reserves the right to cancel the Producer/Vendor
contract with no refund of Membership fees. In the event that Producer/Vendor contract is cancelled,
products will be taken off Member website immediately.
If Producer/Vendor Agreement is cancelled, Producer/Vendor becomes a General Member of Little
Acres Farms Co-Op and is able to order food products from the Co-Op for the remainder of their
General Membership contract.
Little Acres Farms Co-Op accepts no responsibility for Producer/Vendor spoiled, stale, damaged or
unsalable products. If customer deems a product supplied by a Producer/Vendor is not useable do to
lack of quality/freshness, every attempt to rectify the situation will be made by Little Acres Farms Co-
Op.

If the resolution includes a refund to customer, the amount of refund will be deducted from
Producer/Vendor’s gross sales for the month.
If customer prefers a replacement product, the product is to be delivered to Little Acres Farms Co-Op
the following week at no charge to Little Acres Farms Co-Op or the customer.
